Third Forum: Institutionalizing Corporate Governance in Companies – February 2020

The third forum brought together experts from the Central Bank of Jordan, the United Nations Development Program (UNDP), the Jordan Institute of Directors (JIoD), in addition to representatives from the private sector.

Discussions focused on the role of institutional investors in strengthening governance through the selection of qualified and specialized representatives, as well as clarifying the duties and responsibilities of the Fund’s representatives on boards of directors.

Participants also examined their role in shaping company policies and business plans, monitoring compliance with regulatory frameworks, and adopting policies that protect minority shareholders’ rights and prevent conflicts of interest.

The forum further addressed disclosure and transparency requirements in accordance with applicable laws and regulations, and introduced the corporate governance index for public shareholding companies listed on the Amman Stock Exchange, which measures the level of compliance with governance principles based on legislative requirements and international best practices.

In addition, the forum highlighted the United Nations Sustainable Development Goals (SDGs) and the indicators used to measure their impact on corporate performance across environmental, social, and governance dimensions, supporting a balanced approach to stakeholder interests and sustainable economic growth.
